Overview
By submitting content to tomtoc (“we”, “our”, “us”), you agree to this UGC Content Policy.
This program allows creators to submit user-generated content (“Content”) for potential rewards. Selected Content may be used by tomtoc for marketing, advertising, and promotional purposes.
Eligibility
By participating, you confirm that:
- You are at least 18 years old, or have obtained verifiable consent from a parent or legal guardian.
- You have the full legal right to submit the Content.
- Your participation does not violate any applicable law, contract, or restriction.
Content Ownership & License
You retain ownership of your Content.
However, by submitting Content, you grant tomtoc a:
Worldwide, non-exclusive, royalty-free, perpetual, irrevocable, transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display your Content in any media formats and channels, including but not limited to:
- Social media platforms (e.g., TikTok, Instagram, YouTube, Facebook)
- Official websites and product pages
- Paid advertising channels (e.g., Meta Ads, TikTok Ads, Google Ads)
- Email marketing and CRM communications
- Retail and third-party distribution channels
- Any current or future marketing channels
This license includes the right to use Content with or without attribution, at tomtoc’s sole discretion.
Compensation
Only selected Content is eligible for rewards.
Reward amounts (e.g., $100 USD per selected video) are determined solely by tomtoc
Submission does not guarantee selection, usage, or payment.
Payment (if applicable) will be issued only after Content selection and successful creator verification.
tomtoc reserves the right to determine whether Content qualifies for any reward.
Content Requirements
By submitting Content, you confirm that:
- The Content is your original creation
- You own or have obtained all necessary rights, licenses, and permissions to submit and license the Content
- All individuals appearing in the Content have provided explicit consent for their image, voice, and likeness to be used for commercial purposes
- The Content does not infringe any third-party rights, including copyright, trademark, privacy, or publicity rights
- The Content is accurate and not misleading regarding tomtoc products
Where required by law or platform policy (including FTC guidelines), you will clearly disclose any material connection with tomtoc (e.g., “ad”, “sponsored”, “gifted”).
Prohibited Content
You agree not to submit Content that:
- Infringes any third-party copyright, trademark, or intellectual property rights
- Uses third-party brands, logos, or trademarks in a misleading or promotional manner.
- Is unlawful, defamatory, obscene, hateful, or otherwise inappropriate.
- Violates privacy, publicity, or personal rights of others.
- Misrepresents tomtoc products or includes false or misleading claims.
Right to Edit & Use
tomtoc may, at its sole discretion:
- Edit, crop, subtitle, translate, or adapt Content for marketing or formatting purposes.
- Combine Content with other media, graphics, or materials.
- Determine the timing, placement, duration, and channels in which Content is used.
- Remove or stop using Content at any time.
No Obligation to Use Content
Submission of Content does not guarantee selection, usage, publication, or promotion.
Selection for reward or compensation does not create any obligation for tomtoc to use, publish, or promote the Content.
All decisions regarding whether and how Content is used are made solely at tomtoc’s discretion.
Submission does not create any expectation of ongoing or future use.
Warranties & Indemnification
By submitting Content, you represent and warrant that:
- You have full legal authority to grant the rights described in this Policy
- Your Content does not infringe, violate, or misappropriate any third-party rights
- You have obtained all necessary consents from individuals appearing in the Content
If any of the above representations are untrue, you agree to be responsible for any resulting claims or liabilities.
You agree to indemnify, defend, and hold harmless tomtoc and its affiliates from and against any claims, damages, liabilities, or expenses (including reasonable legal fees) arising out of or related to:
- Your Content
- Any breach of this Policy
- Any third-party claim related to your Content or submitted materials
tomtoc reserves the right, at its sole discretion and at any time, to:
- Reject or disqualify any submission
- Suspend or terminate participation in the program
- Remove or stop using any Content
- Withhold or revoke rewards or eligibility
These actions may be taken if:
- This Policy is violated
- The Content is deemed misleading, inappropriate, or non-compliant
- Required verification cannot be completed
Termination does not affect rights already granted to tomtoc under the Content Ownership & License section.
